Presence of IT (PoIT) is facing a period of significant growth and this has led to the need for an experienced in house legal counsel to provide practical support and knowledge.

Key Responsibilities & Requirements:

The in-house Legal Counsel will deliver and coordinate legal, contract and commercial advice across Presence of IT’s businesses in Australia and New Zealand, ASIA and North America, working to manage and mitigate risk, protecting commercials and helping ensure ethical behaviour and compliance with laws incl. Privacy and Security.

This role is expected to provide support to the business primarily in relation to customer facing contracts from start to finish. It focuses on providing legal and commercial support to the Business Practice Sales and Professional services functions, in the areas of cloud services, software licensing, consulting and implementation services, BPO and hosting services and support services.

The in-house Legal Counsel is also responsible for reviewing and negotiating agreements with Presence of IT’s vendors and business partners, providing legal support to internal teams such as HR, Marketing, Finance and IT and delivering briefings and training to the business.

The role will also cover advisory on business risk management and compliance.

The Main Activities for this role include, but are not limited to:

  • Reviewing, drafting, negotiating and advising on a variety of commercial ICT contracts covering a range of client service offerings, procurement, and vendor and business partnerships

  • Informing Business Practice and engagements leaders of legal risks, potential commercial exposures and legal concepts

  • Developing flexible, creative and innovative solutions to business challenges within the applicable legal constraints

  • Drafting and negotiating a wide variety of commercial service agreements, in particular but not limited to software license, SaaS/BPO and B2B contracts and reseller and distributor agreements

  • Assists in deal qualification and shaping through both business and legal acumen

  • Serves as point of contact for helping prioritize and resolve business issues and providing risk mitigations

  • Forms relationships within business and sales teams to improve communication and engagement management

  • Shares know-how and developments in key legal and risk issues, and deal approaches, and monitors changes in laws and regulations

  • Assist in responding to tenders (both government and private sector) and negotiating those contracts in collaboration with sales and sales support resources

  • Provide legal and commercial support in relation to existing contracts and provide support in the event of any disputes

  • Assist in developing training materials and provide training to the business on relevant legal areas such as Contracts, Competition and Consumer law, Data Privacy etc.

  • Engagement of external legal counsel as required

Key Skills & Experience:

The successful applicant will possess the ability to building positive working relationships and put themselves in the shoes of those you are advising, to understand the complexities of a multi-faceted professional services business, is a critical part of the role. The should have the ability to communicate clearly, solve problems and provide commercially focused advice to senior professionals is essential. We are seeking a candidate with a “Can do” attitude when handling complex situations, someone who is well-organized and able to manage numerous projects simultaneously and under deadline pressure.

We are also seeking a candidate with the following experience:

  • LLB/ /University Law degree or comparable law degree

  • Legal practising certificate

  • Customer focussed both internal and external

  • 5 - 7 years PQE of relevant legal experience gained in a reputable law firm and/or in-house team in a top tier IT company.

  • Demonstrated contract negotiation and drafting expertise is essential

  • Experience of working within the IT/ commercial sector and in particular assisting sales executives on commercial and sales transactions.
